Agreement Overview

These Terms of Service govern your use of 1IX Infrastructure Express Network-as-a-Service (NaaS) solutions. By accessing or using our services, you agree to be bound by these terms.

1. Service Description

1IX Infrastructure Express provides Network-as-a-Service (NaaS) solutions including but not limited to:

  • Enterprise-grade network equipment deployment and management
  • 24/7 network monitoring and support
  • Hardware maintenance and upgrades
  • Software licensing and updates
  • Technical support and consultation

2. Service Agreement

2.1 Contract Term

NaaS contracts are typically structured as multi-year agreements with minimum commitment periods. Specific terms will be outlined in your Service Agreement.

2.2 Service Delivery

1IX will deliver services in accordance with the Service Level Agreement (SLA) specified in your contract. Service delivery timelines depend on equipment availability and site readiness.

2.3 Payment Terms

Monthly service fees are due on the first day of each billing period. Payment methods include bank transfer, check, or other agreed-upon methods. Late payments may incur penalties as specified in your agreement.

3. Client Responsibilities

  • Provide suitable physical space and power for equipment installation
  • Maintain environmental conditions as specified in equipment requirements
  • Grant authorized 1IX personnel access for installation, maintenance, and support
  • Notify 1IX of any service issues or equipment problems promptly
  • Comply with all applicable laws and regulations in using the service
  • Not tamper with, modify, or relocate equipment without prior authorization

4. Equipment Ownership

All network equipment deployed under NaaS agreements remains the property of 1IX Infrastructure Express. Upon contract termination, all equipment must be returned in good working condition, normal wear and tear excepted.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree not to use our services for:

  • Any illegal activities or violation of Philippine laws
  • Distributing malware, viruses, or other harmful software
  • Unauthorized access to other networks or systems
  • Activities that interfere with or disrupt network services
  • Spamming, phishing, or other abusive practices

5.2 Enforcement

1IX reserves the right to suspend or terminate services immediately if prohibited activities are detected.

6. Data Privacy and Security

1IX is committed to protecting your data in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173). Network traffic and configuration data may be monitored for service delivery and security purposes.

7. Service Modifications

1IX reserves the right to modify, upgrade, or change service offerings with reasonable notice to clients. Major changes affecting service delivery will be communicated at least 30 days in advance when possible.

8. Limitation of Liability

1IX's liability is limited to the extent permitted by Philippine law. In no event shall 1IX be liable for indirect, incidental, consequential, or punitive damages. Maximum liability is limited to amounts paid for services in the preceding 12 months.

Service availability and performance commitments are specified in the Service Level Agreement (SLA).

9. Termination

9.1 By Client

Clients may terminate service upon contract completion or as specified in the Service Agreement. Early termination may incur penalties as outlined in your contract.

9.2 By 1IX

1IX may terminate service for non-payment, violation of terms, or other material breach after providing appropriate notice and opportunity to cure.

9.3 Effects of Termination

Upon termination, all equipment must be returned, outstanding fees paid, and access credentials revoked.

10. Dispute Resolution

Any disputes arising from these terms shall first be addressed through good-faith negotiation. If resolution cannot be reached, disputes shall be settled through arbitration in accordance with Philippine laws, with venue in Metro Manila.

11. Governing Law

These Terms of Service are governed by the laws of the Republic of the Philippines. All parties submit to the exclusive jurisdiction of Philippine courts.
